Chain of custody becomes very important for HIPAA medical compliance and high-value contracts. For low-end, unlikely to be challenged waivers etc., any of the above might be fine, but generally speaking the whole point is legally binding agreement.

We know people want to avoid recurring fees, so on our version 2 we have a 10-year “buyout”, along with a branded subdomain i.e. Docs.ClientDomain.com system. This provides the 3rd-party court defense options with the price control some people want. We’re also rolling out a partners & consultants program for web developers, who are most commonly handling setup.

Спешим сообщить вам о том, что мы создали плагин конструктора форм FormDesigner для популярной CMS WordPress. Это точная копия нашего сервиса, которая доступна в админке вашего сайта! Скачать данный плагин можно по ссылке ниже:

Скопируйте данный плагин в папку плагинов /wp-content/plugins/. После этого активируйте его через меню «Плагины». После этого в админке появится новый элемент меню «FormDesigner».

Перейдите в новый раздел меню «FormDesigner» и следуйте подсказкам, после чего перед вами откроется весь функционал нашего конструктора форм.

Как и на основном сайте, вы можете создавать новые формы, редактировать существующие, настраивать внешний вид формы, а также просматривать всю статистику по формам не покидая пределов своего сайта.

Для того, чтобы разместить форму на странице вашего сайта, теперь не нужно редактировать файлы вашего сайта, достаточно кликнуть на специальную иконку в вашем редакторе:

Кликнув по этой иконке, перед вами откроется всплывающее окно, со списком всех ваших проектов:

Выберите необходимый проект и нажмите на кнопку «Вставить форму», после чего в нужное место будет добавлен специальный код, который при выводе страницы будет заменен на нужную форму.

Лицензионный договор-оферта

Настоящий Лицензионный Договор (далее «Договор») является офертой Лицензиара, адресованное пользователю (любому физическому или юридическому лицу), именуемому в дальнейшем Лицензиат. Настоящий Договор признается заключенным с момента его акцепта Лицензиатом. Под акцептом в целях настоящего Договора понимается факт оплаты Лицензиата за Лицензию.

Перед приобретением и использованием экземпляра Программного обеспечения Лицензиат обязан внимательно ознакомится с условиями данного Договора. Получение права использования и использование Лицензиатом Программного обеспечения разрешается только в случае полного и безоговорочного принятия Лицензиатом всех условий настоящего Договора.

Приобретая право использования Программного обеспечения Лицензиат подтверждает свое согласие с условиями, изложенными в настоящем Договоре и обязуется их соблюдать.

Лицензиар — владелец всех авторских прав (исключительных имущественных и не имущественных) на Программное обеспечение, а именно — Индивидуальный предприниматель Алейников Сергей Сергеевич (ОГРНИП 317619600158242, ИНН 610902589570).

Программное обеспечение, ПО — результат интеллектуальной деятельности, набор программных кодов, решающий определенные задачи по изменению как функционала, так и внешнего вида сайта Лицензиата.

Лицензия — неисключительное право Лицензиата использовать ПО, передаваемое Лицензиату Лицензиаром, в соответствии с настоящим Договором.

Лицензионный ключ — определенный набор символов, идентифицирующий Лицензию в системе Лицензиара.

Сайт Лицензиара — Веб-сайт https://wpshop.ru/

Оферта — настоящий Договор, размещенный в телекоммуникационной сети «Интернет» по адресу «https://wpshop.ru/license», являющийся публичной офертой Лицензиара, который заключается путем принятия Лицензиатом условий Договора в целом. Условия настоящего Договора являются одинаковыми для всех Лицензиатов и не могут быть изменены Лицензиатом.

Акцепт — предоставление Лицензиатом полного и безоговорочного согласия с условиями настоящего Договора. Оферта Лицензиара считается принятой (акцептованной) Лицензиатом и настоящий Договор считается заключенным в момент полной оплаты Лицензиатом права использования Программного обеспечения на условиях данного Договора.

2. Предмет договора

2.1 Предметом настоящего Договора является передача Лицензиаром неисключительных прав использования ПО Лицензиату на условиях простой (неисключительной) лицензии путем предоставления ПО и Лицензионного ключа, а Лицензиат обязуется оплатить Лицензиару обусловленное Договором вознаграждение

2.2 Настоящий Договор вступает в силу в день осуществления Лицензиатом полной оплаты стоимости права использования Программного обеспечения в порядке и на условиях, предусмотренных настоящим Договором.

2.3 Программное обеспечение разработано с использованием следующих языков программирования: PHP, HTML, JS, CSS. Перечень модулей, разделов, функций и технических возможностей Программного обеспечения зависит от наименования приобретаемого Лицензиатом ПО, а также его версий и модификаций, и указываются на официальном Сайте Лицензиара.

2.4 Лицензиат не вправе передавать право использования ПО третьим лицам.

2.5 Программное обеспечение не продается Лицензиату, а предоставляется ему в пользование на условиях данного Лицензионного договора. Лицензиар остается владельцем ПО и сохраняет все свои права, связанные с таким владением.

2.6 Лицензия, выдаваемая Лицензиату по настоящему Договору, является простой (неисключительной), персональной, непередаваемой. Лицензиар сохраняет за собой право выдачи лицензий другим лицам на условиях как аналогичных данному Лицензионному договору, так и отличных от него.

3 . Исполнение договора

3.1 Лицензиар обязан предоставить Лицензиату неисключительную Лицензию в течение 5 рабочих дней с момента получения оплаты за Лицензию.

3.2 Лицензиат обязан использовать ПО только теми способами, которые предусмотрены настоящим Договором, и согласно ограничениям, определяемым Лицензией.

3.3 Лицензиату предоставляется техническая поддержка в отношении использования ПО в течение всего срока действия Лицензии. Поддержка осуществляется по e-mai [email protected]

4. Права и обязанности сторон

4.1 В течение срока действия настоящего Договора Лицензиат обязуется:

4.1.1 не модифицировать исходный код ПО;
4.1.2 не передавать ПО, Лицензию и Лицензионный ключ третьим лицам;
4.1.3 не публиковать ПО полностью или частично, Лицензию и Лицензионный ключ с возможностью доступа к информации третьих лиц;
4.1.4 не предоставлять в прокат, аренду или временное пользование ПО, Лицензию и Лицензионный ключ;

4.2 В течение срока действия настоящего Договора Лицензиар обязуется:

4.2.1 оказывать консультацию Лицензиату по запросу на e-mail [email protected];
4.2.2 в течение 1 (одного) месяца с момента вступления в силу настоящего Договора и передачи Лицензиату экземпляра ПО устранять все существенные недостатки, обнаруженные Лицензиатом в ПО, которые связанные с невозможностью использования Программного обеспечения или его отдельных компонентов по своему функциональному назначению

4.3 Лицензиар вправе без предварительного уведомления производить обновления ПО, изменять набор функций, внешний вид и логику работы ПО.

4.4 Лицензиар вправе изменять стоимость покупки новых Лицензий без предварительного уведомления Лицензиата. Изменение стоимости никак не влияет на Лицензии, приобретенные до изменения стоимости

5. Порядок расчетов и передачи прав

5.1 Для приобретения Лицензии, Лицензиат оформляет заказ на Сайте Лицензиара, и указывает при этом параметры лицензии: количество доменов. Лицензиат оплачивает Лицензиару лицензионное вознаграждение за право использования ПО в соответствии с выбранными параметрами Лицензии (https://wpshop.ru/). НДС не облагается на основании ст. 149 п. 2
пп.26 НК РФ. Лицензиар не выставляет Лицензиату счета-фактуры на основании п.3 ст 169 НК РФ.

5.2 Лицензиат оплачивает выставленный счет путем перечисления Лицензиару 100% суммы, указанной в счете.

5.3 Лицензиар обязуется передать право использования ПО (активировать Лицензию), согласно указанным в Лицензии ограничениям, в течение 5 (пяти) рабочих дней от даты поступления оплаты за Лицензию на счет Лицензиара.

5.4 В случае, если в течение 10 (десяти) дней от даты оплаты Лицензии Лицензиар не получил от Лицензиата письменной претензии на e-mail [email protected], связанной с объемом предоставленных прав, то считается, что неисключительное право использования ПО предоставлено Лицензиату в полном объеме надлежащим образом.

6. Расширение лицензии

6.1 Для того чтобы увеличить количество доменов для Лицензии, Лицензиат должен оплатить расширение Лицензии в Личном кабинете (https://wpshop.ru/dashboard).

6.2 Стоимость расширения Лицензии указана в Личном кабинете.

7. Ответственность сторон

7.1 За неисполнение или ненадлежащее исполнение настоящего Договора Стороны несут ответственность в соответствии с законодательством Российской Федерации.

7.2 Лицензиар не возмещает Лицензиату и/или третьим лицам убытки, понесенные в связи с использованием и/или невозможностью использования ПО, разглашения информации третьим лицам в связи с использованием ПО, и другие убытки, прямо или косвенно связанные с использованием и/или невозможностью использования ПО, включая (но не ограничиваясь) упущенную выгоду.

7.3 Лицензиат несет ответственность за соответствие действующему законодательству информации, передаваемой Лицензиатом с использованием ПО. В случае предъявления к Лицензиару претензий третьих лиц, связанных с содержанием передаваемой информации, Лицензиат самостоятельно и за свой счет обязуется урегулировать такие претензии, а также возместить Лицензиару причиненные убытки.

7.4 В случае обнаружения нарушений действующего законодательства и при наличии соответствующих распоряжений со стороны правоохранительных и иных уполномоченных государственных органов и должностных лиц, Лицензиар оставляет за собой право ограничить доступ Лицензиата к ПО, направив Лицензиату соответствующее письменное уведомление на e-mail, указанный в Личном кабинете.

7.5 Лицензиат использует ПО на свой собственный риск. ПО предоставляется «как есть». Лицензиар не принимает на себя никакой ответственности, в том числе за соответствие ПО целям Лицензиата.

7.6 Любую информацию и/или материалы (в том числе загружаемое ПО, файлы, письма, какие-либо инструкции и руководства к действию и т.д.), доступ к которым Лицензиат получает с использованием ПО, Лицензиат может использовать на свой собственный страх и риск и самостоятельно несет ответственность за возможные последствия использования указанных информации и/или материалов, в том числе за ущерб, который это может причинить компьютеру Лицензиата и/или третьим лицам, за потерю данных или любой другой вред;

8. Срок действия, изменение и расторжение договора

8.1 Настоящий Договор вступает в силу с момента принятия условий настоящего Договора Лицензиатом и действует в течение срока, установленного приобретенной Лицензией.

8.2 Стороны могут расторгнуть настоящий Договор по взаимному согласию или по основаниям,
предусмотренным законодательством Российской Федерации.

8.3 Любая из Сторон вправе в одностороннем порядке отказаться от исполнения настоящего Лицензионного договора, уведомив другую Сторону путем направления за 30 (тридцать) дней сообщения средствами электронной связи на [email protected]

8.4 Лицензиар вправе вносить изменения в условия настоящего Договора путем публикации на Сайте Лицензиара нового текста Договора.

8.5 В случае нарушения Лицензиатом условий настоящего Договора, Лицензиар вправе досрочно расторгнуть договор и незамедлительно блокировать доступ к серверу без предварительного уведомления Лицензиата.

9. Обстоятельства непреодолимой силы (форс-мажор)

9.1 Стороны освобождаются от ответственности за полное или частичное неисполнение обязательств по настоящему Договору, если таковое явилось следствием обстоятельств непреодолимой силы, а именно: DDoS атак, пожара, наводнения, землетрясения, диверсии, военных действий или изменения законодательства, если эти обстоятельства непосредственно повлияли на исполнение обязательств по настоящему Договору. При этом срок исполнения обязательств по настоящему Договору отодвигается соразмерно времени, в течение которого
действовали такие обстоятельства.

9.2 Лицензиар должен в десятидневный срок по электронной почте, указанной при регистрации, уведомить Лицензиата о начале и окончании обстоятельств форс-мажора, препятствующих исполнению обязательств по настоящему Договору.

9.3 Лицензиат должен в десятидневный срок по электронной почте [email protected] Лицензиара о начале и окончании обстоятельств форс-мажора, препятствующих исполнению обязательств по настоящему Договору.

9.4 Если обстоятельства непреодолимой силы будут вызывать невозможность полного или частичного исполнения обязательств по настоящему Договору более 3 (трех) месяцев подряд, то каждая из Сторон вправе расторгнуть настоящий Договор в одностороннем внесудебном порядке путем направления уведомления другой Стороне за 15 (пятнадцать) календарных дней до предполагаемой даты расторжения Договора.

10. Заключительные положения

10.1 Если какое-либо из условий или положений Договора будет признано любым судом или органом административной власти компетентной юрисдикции недействительным или не исполнимым, это не повлияет на действительность или возможность принудительного исполнения любых других положений или условий Договора, которые остаются после этого полностью действительными, если иное не предусмотрено законодательством Российской Федерации.

10.2 Все, что не урегулировано настоящим Договором, регулируется в соответствии с законодательством Российской Федерации.

10.3 Принимая условия настоящего Договора, Лицензиат дает согласие на получение информационных рассылок по указанным при регистрации на сайте и в Личном кабинете адресам электронной почты.

10.4 Условия настоящего Договора применяются, если иного не установлено письменным соглашением сторон.
